Na rozdiel od in\u00fdch foriem podnikania v\u0161etci partneri zodpovedaj\u00fa za dlhy spolo\u010dnosti svoj\u00edm osobn\u00fdm a spolo\u010dn\u00fdm majetkom, \u010do znamen\u00e1, \u017ee ka\u017ed\u00fd partner zodpoved\u00e1 za v\u0161etky dlhy spolo\u010dnosti. Zodpovednos\u0165 partnerov je preto neobmedzen\u00e1.<\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p>Verejn\u00e1 obchodn\u00e1 spolo\u010dnos\u0165 (VP) je ur\u010den\u00e1 pre osoby, ktor\u00e9 chc\u00fa vykon\u00e1va\u0165 hospod\u00e1rsku \u010dinnos\u0165 v spojen\u00ed s in\u00fdmi osobami, \u010di u\u017e fyzick\u00fdmi alebo pr\u00e1vnick\u00fdmi.<br \/>SNC je obzvl\u00e1\u0161\u0165 vhodn\u00fd pre podnikate\u013eov, ktor\u00ed chc\u00fa vykon\u00e1va\u0165 svoju \u010dinnos\u0165 spolo\u010dne, transparentn\u00fdm a podporn\u00fdm sp\u00f4sobom. Umo\u017e\u0148uje zna\u010dn\u00fa zmluvn\u00fa slobodu medzi partnermi, ako aj ve\u013ek\u00fa flexibilitu pri riaden\u00ed podniku.<br \/>SNC je vhodn\u00e1 aj pre komer\u010dn\u00e9 aktivity, ktor\u00e9 vy\u017eaduj\u00fa ur\u010dit\u00fa solidaritu medzi partnermi, alebo ke\u010f je pr\u00edspevok ka\u017ed\u00e9ho z partnerov d\u00f4le\u017eit\u00fd pre dosiahnutie firemn\u00e9ho cie\u013ea spolo\u010dnosti.<\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p>Treba v\u0161ak poznamena\u0165, \u017ee SNC je m\u00e1lo pou\u017e\u00edvan\u00e1 forma spolo\u010dnosti, preto\u017ee m\u00e1 ur\u010dit\u00e9 nev\u00fdhody, vr\u00e1tane neur\u010ditej a spolo\u010dnej zodpovednosti v\u0161etk\u00fdch spolo\u010dn\u00edkov v pr\u00edpade dlhov spolo\u010dnosti, ako aj ur\u010dit\u00fa nepru\u017enos\u0165, pokia\u013e ide o prevod akci\u00ed spolo\u010dnosti. Okrem toho si vytvorenie SNC vy\u017eaduje vypracovanie presn\u00fdch stanov a relat\u00edvne vysok\u00fa \u00farove\u0148 formality.<br \/>Spolo\u010dnos\u0165 SNC riadi jeden alebo viacer\u00ed mana\u017e\u00e9ri, ktor\u00fdch vymen\u00favaj\u00fa spolo\u010dn\u00edci a ktor\u00ed s\u00fa zodpovedn\u00ed za ka\u017edodenn\u00e9 riadenie spolo\u010dnosti. Spolo\u010dn\u00edci maj\u00fa rozhodovaciu pr\u00e1vomoc nad hlavn\u00fdmi rozhodnutiami spolo\u010dnosti. Zisk spolo\u010dnosti sa rozde\u013euje medzi spolo\u010dn\u00edkov pod\u013ea ich podielov na z\u00e1kladnom iman\u00ed.<br \/>Spolo\u010dnos\u0165 SNC nepodlieha dani z pr\u00edjmov pr\u00e1vnick\u00fdch os\u00f4b (IS), ale zisky spolo\u010dnosti sa zda\u0148uj\u00fa na \u00farovni spolo\u010dn\u00edkov na z\u00e1klade ich podielov v spolo\u010dnosti. Spolo\u010dn\u00edci m\u00f4\u017eu svoje podiely vo\u013ene prev\u00e1dza\u0165, ale ich prevod m\u00f4\u017ee podlieha\u0165 ur\u010dit\u00fdm obmedzeniam stanoven\u00fdm v stanov\u00e1ch spolo\u010dnosti.<br \/>SNC pon\u00faka v\u00fdhody, ako je jednoduchos\u0165 zalo\u017eenia a riadenia, flexibilita vn\u00fatornej organiz\u00e1cie a mo\u017enos\u0165 vyu\u017e\u00edva\u0165 ur\u010dit\u00fa d\u00f4vernos\u0165, ale m\u00e1 aj zna\u010dn\u00e9 nev\u00fdhody, ako je neobmedzen\u00e9 ru\u010denie partnerov za ich osobn\u00fd majetok a \u0165a\u017ekosti s h\u013eadan\u00edm extern\u00fdch investorov. V d\u00f4sledku toho sa SNC \u010dasto pou\u017e\u00edva pre rodinn\u00e9 podniky alebo pre partnerstv\u00e1 medzi d\u00f4veryhodn\u00fdmi osobami.<br \/><br \/><strong>Ako verejn\u00e1 obchodn\u00e1 spolo\u010dnos\u0165 (VOP) m\u00f4\u017eete spracov\u00e1va\u0165 r\u00f4zne typy a povahu osobn\u00fdch \u00fadajov z\u00e1visie\u0165 od druhu podnikania, ktor\u00e9 vykon\u00e1vate.
