Nesse caso, esses s\u00f3cios s\u00e3o chamados de s\u00f3cios comandit\u00e1rios e sua responsabilidade \u00e9 limitada ao valor de sua contribui\u00e7\u00e3o. Os demais s\u00f3cios, chamados s\u00f3cios gerais, t\u00eam responsabilidade ilimitada e participam ativamente da gest\u00e3o da empresa.<br \/>O SCS tamb\u00e9m \u00e9 adequado para atividades comerciais que exigem contribui\u00e7\u00f5es significativas, mas onde os s\u00f3cios desejam limitar sua responsabilidade.<br \/>Deve-se observar, no entanto, que a cria\u00e7\u00e3o de uma SCS exige a elabora\u00e7\u00e3o de estatutos precisos e um n\u00edvel relativamente alto de formalidade. Al\u00e9m disso, a SCS pode estar sujeita a certas regras fiscais e cont\u00e1beis espec\u00edficas.<\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p>Os s\u00f3cios gerais s\u00e3o pessoas f\u00edsicas ou jur\u00eddicas que respondem ilimitada e solidariamente pelas d\u00edvidas da empresa. S\u00e3o tamb\u00e9m respons\u00e1veis pela gest\u00e3o corrente dos neg\u00f3cios. Os s\u00f3cios comandit\u00e1rios, por outro lado, n\u00e3o participam da gest\u00e3o da empresa e a sua responsabilidade limita-se \u00e0 sua contribui\u00e7\u00e3o para o capital social da empresa.<br \/>A SCS \u00e9 administrada por um ou mais gerentes, nomeados pelos s\u00f3cios gerais e respons\u00e1veis pela gest\u00e3o di\u00e1ria da empresa. Os lucros da empresa s\u00e3o distribu\u00eddos entre os s\u00f3cios de acordo com suas participa\u00e7\u00f5es no capital social.<br \/>A SCS n\u00e3o est\u00e1 sujeita ao imposto de renda corporativo (IS), mas os lucros da empresa s\u00e3o tributados no n\u00edvel dos s\u00f3cios, com base em suas participa\u00e7\u00f5es na empresa. Os s\u00f3cios comandit\u00e1rios podem transferir livremente suas participa\u00e7\u00f5es, mas sua transfer\u00eancia pode estar sujeita a certas restri\u00e7\u00f5es estabelecidas no contrato social da empresa.<br \/>O SCS \u00e9 frequentemente usado para empresas familiares ou para parcerias entre pessoas de confian\u00e7a, porque permite que os investidores participem de um neg\u00f3cio sem se envolver na gest\u00e3o di\u00e1ria e sem correr o risco de responsabilidade ilimitada.<br \/><br \/><a><strong>Como Sociedade em Comandita Simples (SCS), os tipos e a natureza dos dados pessoais que voc\u00ea pode processar depender\u00e3o do tipo de neg\u00f3cio que voc\u00ea realiza. No entanto, aqui est\u00e3o alguns exemplos de dados pessoais que as SCSs podem processar:<\/strong><\/a><\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p><strong>\u00c9 importante observar que os SCSs est\u00e3o sujeitos a regulamenta\u00e7\u00f5es de prote\u00e7\u00e3o de dados pessoais e devem cumprir as leis de prote\u00e7\u00e3o de dados aplic\u00e1veis, como o Regulamento Geral sobre a Prote\u00e7\u00e3o de Dados (GDPR) na Europa e a Lei de Prote\u00e7\u00e3o da Privacidade Online do Consumidor (CCPA) na Calif\u00f3rnia.
