U tom slu\u010daju, ti se partneri nazivaju komanditori, a njihova je odgovornost ograni\u010dena na iznos njihovog doprinosa. Ostali partneri, koji se nazivaju komplementari, imaju neograni\u010denu odgovornost i aktivno sudjeluju u upravljanju dru\u0161tvom.<br \/>SCS je tako\u0111er prikladan za komercijalne aktivnosti koje zahtijevaju zna\u010dajne doprinose, ali gdje partneri \u017eele ograni\u010diti svoju odgovornost.<br \/>Me\u0111utim, treba napomenuti da stvaranje SCS-a zahtijeva izradu preciznih statuta i relativno visoku razinu formalnosti. Osim toga, SCS mo\u017ee biti podlo\u017ean odre\u0111enim specifi\u010dnim poreznim i ra\u010dunovodstvenim pravilima.<\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p>Komplementari su fizi\u010dke ili pravne osobe koje imaju neograni\u010denu i solidarnu odgovornost za dugove dru\u0161tva. Tako\u0111er su odgovorni za svakodnevno upravljanje poslovanjem. Komanditori, s druge strane, ne sudjeluju u upravljanju dru\u0161tvom i njihova je odgovornost ograni\u010dena na njihov doprinos temeljnom kapitalu dru\u0161tva.<br \/>SCS-om upravlja jedan ili vi\u0161e upravitelja, koje imenuju komplementari i koji su odgovorni za svakodnevno upravljanje dru\u0161tvom. Dobit dru\u0161tva raspore\u0111uje se me\u0111u partnerima prema njihovim udjelima u temeljnom kapitalu.<br \/>SCS ne podlije\u017ee porezu na dobit poduze\u0107a (PS), ali se dobit dru\u0161tva oporezuje na razini partnera, na temelju njihovih udjela u dru\u0161tvu. Komanditori mogu slobodno prenositi svoje udjele, ali njihov prijenos mo\u017ee biti podlo\u017ean odre\u0111enim ograni\u010denjima utvr\u0111enim u statutu dru\u0161tva.<br \/>SCS se \u010desto koristi za obiteljska poduze\u0107a ili za partnerstva izme\u0111u pouzdanih osoba, jer omogu\u0107uje investitorima sudjelovanje u poslovanju bez sudjelovanja u svakodnevnom upravljanju i bez rizika od neograni\u010dene odgovornosti.<br \/><br \/><a><strong>Kao komanditno dru\u0161tvo (KOD), vrste i priroda osobnih podataka koje mo\u017eete obra\u0111ivati ovisit \u0107e o vrsti poslovanja kojim se bavite. Me\u0111utim, evo nekoliko primjera osobnih podataka koje KOD mogu obra\u0111ivati:<\/strong><\/a><\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p><strong>Va\u017eno je napomenuti da SCS-ovi podlije\u017eu propisima o za\u0161titi osobnih podataka i moraju se pridr\u017eavati va\u017ee\u0107ih zakona o za\u0161titi podataka, kao \u0161to su Op\u0107a uredba o za\u0161titi podataka (GDPR) u Europi i Zakon o za\u0161titi privatnosti potro\u0161a\u010da na internetu (CCPA) u Kaliforniji.
