pravna poslovna struktura u Francuskoj sli\u010dna dru\u0161tvu s ograni\u010denom odgovorno\u0161\u0107u (SARL), ali kojom upravlja jedna osoba, nazvana jedini dioni\u010dar.<\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p>Dru\u0161tvo s ograni\u010denom odgovorno\u0161\u0107u s jednim \u010dlanom (EURL) namijenjeno je pojedincu koji \u017eeli osnovati dru\u0161tvo s ograni\u010denom odgovorno\u0161\u0107u, ali koji \u017eeli biti jedini dioni\u010dar. Ovaj pravni oblik posebno je prikladan za poduzetnike koji \u017eele iskoristiti prednosti ograni\u010dene odgovornosti uz zadr\u017eavanje potpune kontrole nad svojim poslovanjem.<br \/>EURL je oblik poslovanja prikladan za aktivnosti koje zahtijevaju ve\u0107a po\u010detna ulaganja nego za samostalno poduzetni\u0161tvo (SOP), a za koje poduzetnik \u017eeli ograni\u010diti svoju financijsku odgovornost na doprinose koje je uplatio u tvrtku.<br \/>EURL je tako\u0111er prikladan za poduzetnike koji \u017eele olak\u0161ati prijenos svog poslovanja na svoje nasljednike organiziranjem prijenosa svojih dionica u okviru ugovora dioni\u010dara ili klauzule o prijenosu.<\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p>Kona\u010dno, EURL je prikladan za slobodne profesionalce koji \u017eele obavljati svoju djelatnost u obliku dru\u0161tva, uz ograni\u010davanje svoje financijske odgovornosti.<br \/>Me\u0111utim, treba napomenuti da EURL zahtijeva odre\u0111enu razinu formalnosti, posebno u pogledu izrade statuta i odr\u017eavanja skup\u0161tina jedinog dioni\u010dara. Nadalje, upravitelj EURL-a podlije\u017ee odre\u0111enim socijalnim i poreznim obvezama, posebno u pogledu doprinosa za socijalno osiguranje i objave rezultata.<br \/>EURL omogu\u0107uje poduzetniku ograni\u010denu odgovornost, \u0161to zna\u010di da je odgovornost jedinog dioni\u010dara ograni\u010dena na iznos njegovog doprinosa poslovanju. To zna\u010di da se osobna imovina jedinog dioni\u010dara ne mo\u017ee zaplijeniti za dugove dru\u0161tva.<\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p>EURL ima pravnu osobnost razli\u010ditu od one jedinog dioni\u010dara, \u0161to zna\u010di da dru\u0161tvo ima vlastitu imovinu, mo\u017ee sklapati ugovore, posjedovati imovinu i biti tu\u017eeno na sudu.<br \/>EURL podlije\u017ee porezu na dobit, a jedini dioni\u010dar smatra se samozaposlenim radnikom. Stoga mora doprinositi socijalnim organizacijama kako bi imao koristi od socijalnog osiguranja.<br \/>EURL nudi prednosti kao \u0161to su ograni\u010dena odgovornost, fleksibilnost upravljanja, mogu\u0107nost integracije dodatnih partnera i povoljan porezni tretman za tvrtke sa zna\u010dajnim prihodima. Me\u0111utim, osnivanje i upravljanje EURL-om mo\u017ee biti slo\u017eenije i skuplje od samostalnog poduzetni\u0161tva.<br \/><br \/><\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p><strong>Kao dru\u0161tvo s ograni\u010denom odgovorno\u0161\u0107u s jednim \u010dlanom (EURL), vrste i priroda osobnih podataka koje mo\u017eete obra\u0111ivati ovisit \u0107e o vrsti poslovanja kojim se bavite.
